Terms of Use

1. Acceptance of Terms

By accessing or using the Golden Capital Partners Portal (the “Portal”) operated by Golden Capital LLC (“Golden Capital,” “we,” “us,” or “our”), you agree to be bound by these Terms of Use and the Portal’s Privacy Policy. If you do not agree, do not use the Portal. If you are accessing the Portal on behalf of an organization (such as an equipment dealer), you represent that you are authorized to bind that organization to these Terms.

2. What the Portal Is

The Portal is a secure, read-only dealer-facing application through which authorized equipment dealers may view the status of financing deals submitted to Golden Capital, view customer information tied to those deals, download Tear Sheet PDFs for funded deals, and receive account and deal notifications.

The Portal is not:

• a loan-origination system or underwriting tool;
• a system for submitting financing applications;
• a means of communicating financing offers or terms.

Golden Capital does not make credit decisions inside the Portal. All financing decisions, terms, and documentation are handled outside the Portal through Golden Capital’s internal systems and authorized lending partners.

3. Access Is Invitation-Only

Portal access is granted only to users invited by a Golden Capital administrator. There is no public self-registration. Credentials are personal and non-transferable. You agree not to:

• share credentials with any other person (including other employees of your dealer);
• allow anyone else to sign in using your account;
• disable, bypass, or share multi-factor-authentication factors;
• attempt to access accounts, data, or documents belonging to another dealer.

Multi-factor authentication is mandatory on every sign-in and may not be disabled.

4. Authorized Use

You may use the Portal only for legitimate business purposes consistent with your dealer relationship with Golden Capital. You may not:

• provide false or misleading information;
• interfere with the operation of the Portal or the systems supporting it;
• attempt to gain unauthorized access to any data, account, or document;
• reverse-engineer, scrape, or extract Portal data except through the authorized Portal interface;
• use the Portal in violation of any applicable law or regulation;
• use the Portal to transmit malware or otherwise compromise security.

Golden Capital may suspend or revoke access at any time, with or without notice, for suspected breach of these Terms or security events.

5. Data Accuracy and Source of Truth

Deal, customer, and status information displayed in the Portal is synchronized from Golden Capital’s Salesforce system of record. Salesforce is the authoritative source. The Portal presents a read-only mirror for dealer convenience. While we strive to keep the Portal current, information may be delayed or temporarily inconsistent with Salesforce. You should not rely on the Portal for time-sensitive financial decisions without confirming with your Golden Capital representative.

6. Documents and Tear Sheets

Tear Sheet PDFs available in the Portal are provided for the exclusive use of the dealer to whom the funded deal is assigned. You agree to handle downloaded documents in accordance with applicable confidentiality and data-protection obligations and not to distribute them beyond their intended business purpose.

7. Electronic Communications and Signatures

By using the Portal, you consent to receive communications from Golden Capital electronically, including in-Portal notifications, email, and, where you have opted in, SMS (see Privacy Policy, Section 4). You agree that any agreements, disclosures, notices, or electronic signatures provided through the Portal or related email satisfy any legal requirement that such communications be in writing.

8. No Guarantee of Approval or Outcomes

Nothing in the Portal constitutes a commitment to fund a deal, approve an application, or produce any particular outcome. All financing decisions are made outside the Portal and remain subject to Golden Capital’s and its lending partners’ independent underwriting.

9. Intellectual Property

All content, branding, trademarks, software, layouts, and materials forming the Portal are the property of Golden Capital LLC or its licensors and are protected by copyright, trademark, and other intellectual-property laws. You may not reproduce, modify, distribute, or exploit Portal content without our prior written permission, except for the reasonable internal business use of information your dealer is authorized to access.

10. Third-Party Services

The Portal depends on third-party services (including Supabase, Amazon Web Services, Vercel, Resend, Twilio, Salesforce, and Box) to function. Their respective terms and privacy practices govern those services. We are not responsible for the availability, content, or practices of third-party websites or services linked from the Portal.

11. Limitation of Liability

To the fullest extent permitted by law, Golden Capital shall not be liable for any indirect, incidental, consequential, special, or punitive damages — including but not limited to lost profits, business interruption, or data loss — arising from your use of or inability to use the Portal, even if we have been advised of the possibility of such damages. Our aggregate liability for any direct damages arising out of or related to the Portal shall not exceed one hundred U.S. dollars ($100).

12. Indemnification

You agree to indemnify and hold harmless Golden Capital, its officers, employees, affiliates, partners, and service providers from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from your use of the Portal, your violation of these Terms, your breach of the Privacy Policy, or the unauthorized sharing of your credentials.

13. Force Majeure

Golden Capital shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, internet outages, third-party service interruptions, government restrictions, natural disasters, or cyberattacks.

14. Changes to These Terms

We may update these Terms from time to time. The latest version will be posted here with an updated “Last Updated” date. Material changes will be communicated through the Portal and/or email. Your continued use of the Portal after changes constitutes acceptance of the revised Terms.

15. Termination

Golden Capital may, in its sole discretion, terminate or suspend your access to the Portal for any reason, including violation of these Terms. Upon termination, your right to use the Portal ceases immediately. Sections of these Terms that by their nature should survive termination will survive.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-law principles. Any dispute arising out of or related to the Portal or these Terms is subject to the exclusive jurisdiction of the state and federal courts located in Johnson County, Kansas, and you consent to that jurisdiction.

17. Entire Agreement; Severability

These Terms, together with the Portal Privacy Policy and any written agreements between Golden Capital and your dealer organization, constitute the entire agreement regarding your use of the Portal. If any provision is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
